Compras Peru

By filling out the signup form you acknowledge that you have read the terms and conditions below for the Compras Peru AFFILIATE Program, understand, and agree with them.

1. Joining the Program
By filling out the signup form you will automatically become an AFFILIATE and are bound by the terms of this agreement. Your participation in the program is solely for this purpose: to legally advertise our website to receive a commission on products purchased by your referral individuals.

2. Payment Schedule

Eligible payments - all AFFILIATE monies due for orders generated as a result of AFFILIATE links/Web Site will be held for 30 days after the Shipping Date of an order. Orders are typically shipped 1-7 days after a order is placed. This allows us ample time to compensate for returns, exchanges or canceled orders. Payments will be calculated and checks sent out to AFFILIATE during the last week of any given month according to the terms and conditions of this document.
AFFILIATE Payments - payment to AFFILIATE will not be rendered for amounts less than $10.00 USD unless requested by AFFILIATE. Example: if you have a total of $50.00 in sales you would have $5.00 in your affiliate account, thus your account will carry over ino the next months cycle. When your account total reaches $10.00 or more you will be sent a check provided all orders associated meet the condiditons set forth in (a) above.
Store Credit (Doggie Dollars) can be issued upon request in lieu of payment by check to AFFILIATE.

3. Revocation of AFFILIATE Status
Your AFFILIATE application and status in the program may be suspended or terminated for any of the following reasons:

Inappropriate advertisements (False claims, misleading hyperlinks)

Spamming (mass email, mass newsgroup posting, etc...)

Advertising on sites containing/promoting illegal activities

Violation of intellectual property rights.

4. AFFILIATE Links
You may use graphic and text links both on your Web Site and in emails. The site may also be advertised "offline" in classified ads, magazines, and newpapers. You may use the graphics and text provided to you by us, or you may create your own as long as they are approved by us first.

5. AFFILIATE Tracking
When a web surfer clicks through your AFFILIATE link, a cookie is set in their browser that contains your AFFILIATE username. Also, their IP address is tracked in the database along with your AFFILIATE name. When this person decides to buy a product, the script will look for this cookie and/or try to match their IP address to identify the AFFILIATE who will be awarded the commission. Visitors sent through your AFFILIATE link may make a purchase later in time and the commission will still be awarded if the cookie is present in their browser and/or the are using the same IP address as the one logged in the database.

6. Terms of the agreement
These terms will begin upon your signup with the AFFILIATE program and will end when your AFFILIATE account is terminated. The terms of this agreement may be modified by us at any time. If any modification to the terms is unnacceptable to you, your only choice is to terminate your AFFILIATE account. Your continuing participation in the program will constitute your acceptance of any change.

7. Liability
We will not be liable for indirect or accidental damages (loss of revenue, commissions) due to AFFILIATE tracking failures, loss of database files, and any results of "intents of harm" to the program or our website. We do not make any expressed or implied warranties with respect to the AFFILIATE program and/or products sold at this site. We make no claim that the operation of the AFFILIATE program and our website will be error-free and we will not be liable for any interruptions or errors.

Affiliate further agrees and warrants that it will comply with all local, state and federal laws (including, but not limited to, the "CAN-SPAM" Act, effective January 1, 2004) regarding the sending of e-mails.

AFFILIATE shall indemnify and hold Compras Peru harmless from any and all legal actions, damages or liabilities incurred from the day-to-day operations of AFFILIATE. Under no circumstances will Compras Peru be liable whether in tort, contract or otherwise for indirect, incidental, consequential, special or exemplary damages (including but not limited to damages for any loss of revenue, profits, business interruption, loss of business information or data, loss of goodwill, work stoppage, hardware or software failure, or other pecuniary loss) arising from or relating to any provision of this Agreement or the program. Without limiting the foregoing, Compras Peru aggregate liability arising with respect to this Agreement will not exceed the total fees paid or payable to AFFILIATE under this agreement.

Compras Peru will own all right, title and interest in and to all information that is created or collected in the operation of the Compras Peru Web site and reserves the right to amend or terminate this Agreement at any time, with or without notice to AFFILIATE.

The laws of the State of Lima (Peru) shall govern this Agreement. Should there be any legal dispute between the parties, then both parties agree to take the matter before arbitration/mediation in Lima - Peru should Compras Peru request arbitration/mediation in lieu of formal legal process. Both parties mutually agree that the sole legal venue for all disputes shall be in the LAw Court of Lima - Peru.

Following Terms Added (November 11th, 2009) 8. Compras Peru grants you a limited non-exclusive, non-transferable, revocable right to (i) access our site through links; and, (ii) to use our trademark and logo only in the forms we provide to you, for the purpose of linking your site to our site. You have no right to use our trademark or logo for any other purposes whatsoever. You may not alter, edit or amend the trademarks, logos and promotional materials or use them in any way that disparages our site or service. Compras Peru reserves the right to terminate this license at any time, without cause, and without notice. Compras Peru reserves the right to review and monitor your site to assure that your participation of in the Affiliate
Program is in compliance with the terms and spirit of this Agreement.

9. Compras Peru is not responsible for the development, operation, maintenance, and contents of your site.

8. This Agreement shall begin with our acceptance of your Affiliates Program application and your posting on your site of a link to our site.
The Agreement shall end at the will of either party, at any time, with or without cause. Either party may terminate this Agreement by sending an email to the other party. You are only eligible for referral fees for registrations that are completed while this Agreement is in effect. If your account is terminated for violating any of these rules, you will not
receive any monies due.

10. Compras Peru in its sole discretion may modify this Agreement at any time. Compras Peru will attempt to notify you by email of any changes at the address you provided to Compras Peru at the time of your registration with the Affiliate Program. If you are dissatisfied with any change to this Agreement, you may chose to terminate your participation in the Affiliate Program by email or in writing. Your continued participation in the Affiliate Program following notice or posting of any such modification will constitute binding acceptance of the modification. This Agreement is not transferable or assignable without our prior written consent. None-the-less, this Agreement will be binding on and enforceable against your respective successors, heirs, and assigns.

11. Nothing in this Agreement creates any employment, franchise, agency, sales representative, joint venture, or partnership relationship between you, your site and Compras Peru. You are an independent contractor and you may not act or represent yourself in any way that is contradictory. Under no circumstances may you bind or act in any way on behalf of Compras Peru without written authorization.

12. Compras Peru makes no express or implied warranties or representations with respect to the Affiliate Program. From time to time, Compras Peru communicates with its registered users through newsletters which may contain advertisements. Compras Peru makes no express or implied warranties or representations with respect to products sold in connection with such third party advertisements. You waive all claims against Compras Peru in connection with your use of Compras Peru's trademarks and logo and your participation in the Affiliates Program.

13. Compras Peru makes no representation and no assurances that our Web site will be uninterrupted or error free. Compras Peru is not responsible for any problem or technical malfunction of any computer online system, servers, equipment or software, telephone network or lines, failure to receive any email or entry due to technical problems with the Internet or any Web site, Internet service provider, telephone lines or combination thereof, or any problem or technical malfunction due to weather or acts of god. We will not be liable for the consequences of any interruptions or errors. We will not be liable for any loss of revenue, profits or data or other damages arising from your participation in the Affiliates Program.
Compras Peru cannot be liable for any claims alleged or brought for any total exceeding the amount of referral fees payable to you under this Agreement.

14. You agree not to use unsolicited email, message board postings on third party Web sites, news groups, spam or other similar methods of mass messaging to gather referral bonuses. Failure to follow this policy may expose you to state and federal penalties and other legal consequences under applicable law.

15. You represent and warrant to Compras Peru that you are of the age of majority in the jurisdiction in which you reside and that this Agreement is valid, binding, and enforceable against you in accordance with its terms.

16. You agree to indemnify, hold harmless and defend Compras Peru and its directors, officers, employees and agents from and against any action, claim, demand or liability, including reasonable attorney's fees, if such action is based upon: (i) any allegation that you have violated or infringed a third person's copyright or trademark right, or misappropriated a third person's trade secret; (ii) you have committed any gross negligence or willful misconduct; or, (iii) you have used spam or any other improper means of promotion. Compras Peru shall have the right to participate in the defense of any such claim through counsel of its own choosing.

17. You acknowledge that you have read this Agreement in its entirety and agree to all its terms and conditions.

18. This Agreement shall be governed by the laws of Peru and the city of Lima without reference to conflicts of laws. You agree to bring any action relating to this Agreement to a court located in Lima (Peru).

19. Compras Peru failure to enforce any term or condition of this Agreement shall not constitute a waiver of any claim arising out of a breach of this Agreement or of Compras Peru's right to enforce any provision of this Agreement.
